UNIVERSAL FONT LICENcEEULA V2.0
End User Licence Agreement (EULA) setting out the terms on which Studio Few licenses its fonts. Every licence is scoped by Company Size.
1 - Agreement
1.1 This End User Licence Agreement (the “Agreement”) is between Studio Few (“Studio Few”, “we”) and the Licensee. It governs all use of the Font Software.
1.2 By purchasing, downloading, installing or using the Font Software, the Licensee accepts this Agreement. If the Licensee does not accept it, the Font Software must not be downloaded, installed or used.
1.3 An individual who accepts this Agreement on behalf of an organisation confirms they have authority to bind it. If they do not, they are personally bound as the Licensee.
1.4 This Agreement, together with the Licence Certificate, is the entire agreement about the Font Software. If they conflict, the Licence Certificate prevails on Company Size and this Agreement prevails on everything else. No terms in the Licensee’s purchase order or other documents apply.
2 - Definitions
2.1 In this Agreement:
Affiliate: Any entity that controls, is controlled by, or is under common control with the Licensee. Affiliates are separate legal entities and are not covered unless named on the Licence Certificate.
Authorised User: Any individual counted in the Licensee’s Company Size (see 4.1), while they are counted.
Device: Any computer, phone, tablet, server, virtual machine or cloud workspace.
Font Software: The font files supplied by Studio Few in any format, including any updates, versions, converted or subsetted copies, and any part of them.
Licence Certificate: The order confirmation or invoice issued by Studio Few stating the Licensee, the typefaces and the licensed Company Size.
Licensee: The person or legal entity named on the Licence Certificate. Where an individual buys in the course of their employment or engagement, the Licensee is the organisation they buy for, unless the Licence Certificate names the individual.
Licensed Output: Static images, documents, printed matter, video and other artwork created with the Font Software in which the Font Software itself is not included as usable font data.
2.2 “Including” means “including without limitation”.
3 - Grant of licence
3.1 Once Studio Few has received full payment, it grants the Licensee a perpetual (subject to section 9), worldwide, non-exclusive, non-transferable, non-sublicensable licence to use the Font Software within the Company Size on the Licence Certificate and this Agreement.
3.2 The Font Software is licensed, not sold. Any use not expressly permitted is prohibited.
3.3 Any use beyond the Company Size on the Licence Certificate needs a licence upgrade before that use begins. Upgrades are priced at the difference between the current price of the existing licence and the current price of the required licence.
4 - Company Size and Authorised Users
4.1 The licence covers the Licensee up to the Company Size on the Licence Certificate. Company Size is the total number of individuals employed or engaged by the Licensee at any time, whether or not they use the Font Software. It includes full-time and part-time employees, directors, and contractors, freelancers, interns and temporary or agency staff working for the Licensee. Each individual counts as one, regardless of hours worked.
4.2 Whole organisation. Company Size is counted across all of the Licensee’s offices, departments, brands and countries. A licence cannot be limited to one team, department or location to reduce the count.
4.3 Growth. If the Licensee’s Company Size goes above the licensed amount, the Licensee must buy an upgrade under 3.3.
4.4 Who may use it. Any individual counted in the Company Size may use the Font Software, but only for the Licensee’s own work. The Licensee must tell each of them about these terms and is responsible for everything they do with the Font Software, as if it were the Licensee’s own act.
4.5 Affiliates. Affiliates may not use the Licensee’s licence unless the Licence Certificate names them. If named, their staff count towards the Company Size. Otherwise each Affiliate needs its own licence.
4.6 Leavers. When an Authorised User leaves or their engagement ends, the Licensee must make sure the Font Software is removed from every personal and work Device they used, and that they keep no copy.
4.7 Individual licences. A licence held by an individual is for that individual’s own use. It does not cover use by or for their employer. A freelancer may use it to create Licensed Output for clients, but may not give the Font Software to any client.
4.8 Agencies and client work. A design agency or freelancer working for a client may either use its own licence to create Licensed Output for the client, provided the Font Software is never given to the client, or buy a licence in the client’s name, in which case the client is the Licensee and the agency’s staff count towards the client’s Company Size while they work on the project. Where the client needs the Font Software itself (for example for its website, app or in-house team), the client must hold its own licence.
4.9 Third-party service providers. A printer, developer or other service provider may receive the Font Software temporarily only to produce work for the Licensee, must be bound by confidentiality and use restrictions at least as strict as these, and must delete it once the work is complete. They do not count towards the Company Size, but the Licensee is responsible for them as for its Authorised Users.
5 - Permitted uses
5.1 Desktop. Authorised Users may install the Font Software on their Devices to create Licensed Output, including print, packaging, signage, merchandise, social media, presentations, video, film and broadcast.
5.2 Logos and trademarks. The Font Software may be used to create a logo or wordmark, and the outlines in that artwork may be modified. The Licensee may register the logo as a trademark but gets no right in the typeface design itself, and may not register or claim the typeface, any of its characters, or its name.
5.3 Web. The Font Software may be self-hosted on a single domain owned and controlled by the Licensee (one second-level domain, such as example.com, and its subdomains). It must be served only in WOFF or WOFF2 format, only from servers the Licensee controls, and only to that domain (for example by restricting cross-origin access). The Font Software must not be served from a public CDN, a font-hosting service, or a location that other sites can link to. Each additional domain needs an additional licence.
5.4 Apps. The Font Software may be embedded in a single app owned and published by the Licensee. One app covers its iOS, Android, desktop and web builds if they share the same name and brand. White-label or rebranded copies made for other parties are not covered. Each additional app needs an additional licence.
5.5 Documents. The Font Software may be embedded in PDFs and other electronic documents only as a subset, and only so that the document can be viewed and printed, not edited.
5.6 Ebooks, games, broadcast graphics systems, and products for resale (templates, themes, kits, fonts-in-products) are not covered and need a separate licence.
5.7 Embedding generally. Wherever the Font Software is embedded, the Licensee must use reasonable technical measures to stop end users extracting it, and must not make it available to the operating system or other apps on the end user’s Device.
5.8 Backups. The Licensee may keep backup copies needed for normal IT practice, provided only Authorised Users can access them.
6 - Restrictions
6.1 Except as section 5 expressly allows, the Licensee must not, and must not let anyone else:
(1) Share, distribute, upload, sell, rent, lend, lease, sublicense or transfer the Font Software, or make it available on any network, repository, cloud storage or website where people other than Authorised Users can access it;
(2) Modify, adapt, translate, reverse engineer, decompile or disassemble the Font Software, or create derivative fonts from it, including by adding, removing or redrawing glyphs (modifying outlines in Licensed Output under 5.2 is allowed);
(3) Convert the Font Software to another format by any means, except converting to WOFF or WOFF2 for use under 5.3, or as subsetting under 5.5;
(4) Rename the Font Software or remove or change its copyright, trademark or licence notices or embedded metadata;
(5) Let end users of any website, app or service select the Font Software to compose, edit or style their own text or products, including in online design tools, templates, print-on-demand, merchandise customisers or personalisation features;
(6) Use the Font Software in a server-side process that generates text, images or documents for end users, unless the Licence Certificate covers it;
(7) Make the Font Software the main value of any product, or sell any product whose main purpose is to supply the fonts or letterforms;
(8) Use the Font Software, its outlines or images of it to train, fine-tune or evaluate any artificial intelligence or machine learning model, or to create any tool that generates or imitates fonts;
(9) Use the Font Software in any way that breaks the law or infringes anyone’s rights.
6.2 These restrictions apply to every copy of the Font Software, in any format, however it was obtained.
7 - Compliance
7.1 On written request from Studio Few, the Licensee must confirm its current Company Size and that its use complies with this Agreement.
7.2 Studio Few may use third-party monitoring services to detect use of the Font Software online.
7.3 If use exceeds the licence, the Licensee must buy the licence needed to cover it at Studio Few’s then-current prices. This is without prejudice to Studio Few’s other rights.
8 - Ownership and liability
8.1 Ownership. Studio Few owns all intellectual property rights in the Font Software, its design and its names, including in any copies, conversions and updates. The Licensee gets only the rights this Agreement expressly grants.
8.2 The Font Software is supplied as is. To the extent the law allows, all warranties and conditions are excluded, and Studio Few does not warrant that the Font Software will be error-free or suit a particular purpose.
8.3 Limits. Studio Few is not liable for loss of profit, revenue, business, data or goodwill, or for any indirect or consequential loss. Studio Few’s total liability under or in connection with this Agreement is limited to the fees the Licensee paid for the licence concerned.
8.4 Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
8.5 Consumers. If the Licensee is a consumer, nothing in this Agreement affects their statutory rights, including under the Consumer Rights Act 2015.
8.6 Indemnity. The Licensee will compensate Studio Few for all losses, costs and reasonable legal fees arising from any breach of this Agreement by the Licensee or its Authorised Users, service providers or anyone given access to the Font Software through the Licensee, including costs of enforcing against third parties who obtained the Font Software that way.
9 - Termination
9.1 Studio Few may terminate this Agreement by written notice if the Licensee materially breaches it and, where the breach can be remedied, fails to remedy it within a reasonable time of notice. Studio Few may terminate immediately if the breach cannot be remedied, including unauthorised distribution of the Font Software or a breach of 6.1(8).
9.2 On termination, the Licensee must immediately stop using the Font Software, delete every copy from all Devices, servers, backups, websites and apps under its control or the control of its Authorised Users and service providers, and confirm in writing that it has done so.
9.3 Termination does not entitle the Licensee to any refund. Sections 6, 7, 8, 9 and 10 survive termination.
10 - General
10.1 Transfer. The Licensee may transfer this licence only with Studio Few’s prior written consent, and only as a whole, for example on the sale of its business, provided the new owner accepts this Agreement and the Licensee keeps no copies. Studio Few may assign or transfer its rights and obligations on written notice.
10.2 Changes. Studio Few may update these terms for future purchases. Existing licences stay on the version accepted at purchase unless the Licensee agrees otherwise, or takes an upgrade or a new version of the Font Software issued under updated terms.
10.3 Notices. Notices must be in writing and sent by email to the address on the Licence Certificate (for the Licensee) or to info@studiofew.com (for Studio Few).
10.4 Severability. If any part of this Agreement is found invalid or unenforceable, the rest remains in effect, and the invalid part applies with the minimum change needed to make it valid.
10.5 No waiver. A delay or failure by Studio Few to enforce any right is not a waiver of it.
10.6 Third parties. No one other than Studio Few and the Licensee has any right to enforce this Agreement under the Contracts (Rights of Third Parties) Act 1999.
10.7 Law and courts. This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. A consumer living elsewhere in the UK may also bring proceedings in their local courts.
